Scope of Services
We will render search engine optimization services according to the features specified in your selected plan. If any requirements arise that are outside of your plan, we will let you know. They will be considered extra and, upon your approval, billed separately.
Website Login Information
In order to optimize your website, we will request that you supply us with your website FTP username and password or other website login information. You will not be eligible for guaranteed results, and service will not commence until we have received your correct login information.
Results Guarantee
If you don’t experience a significant increase in your website rankings and traffic after the first three months, just let us know (send an email to info{at}simplypatients{dot}com) and we will waive your monthly fees for each additional month until your results improve.
What is a Significant Increase?
Search engines are unpredictable because the algorithms they use to determine search results are constantly changing. As a result it is impossible to predict or guarantee your results with 100% accuracy. Instead, we use the looser term “significant” which will mean different things depending on the current performance of your website.
Rankings: If your website is already on the first page of the Google results (between positions 3 and 10) for your chosen keywords, we guarantee a ranking increase of at least 1 position (usually, however, you can expect to achieve a 2-3 position increase). If your website is already ranked on the second page of the Google results for your chosen keywords, we guarantee an increase of at least 3 positions (usually you can expect to achieve a 4-6 position increase). If your website is already ranked on the third page of the Google results (or beyond), we guarantee an increase of at least 6 positions (usually you can expect to end up on the first or second page of the Google results).
Traffic: We guarantee that your monthly website traffic will increase by at least 20% within 3 months of the beginning of service. The increase in traffic will be calculated by averaging your website traffic during the 3 months leading up to your sign up date. We require that you provide traffic reports for these three months so that we can calculate your starting traffic. If you are unable to provide these reports, we will begin with a default initial average monthly traffic rate of 50 unique visitors per month.
Local Listing Optimization
To optimize your local listings (Google Maps, Bing Maps, Yahoo Local), you must supply us with any and all activation codes that you receive in the mail or by phone. We require that you contact us immediately by phone or email to notify us when you receive any verification codes. We can not guarantee rankings outside your country or geographic location, due to language and regional settings of the search engines. We do not guarantee specific ranking positions for local listings, however, we take great effort to ensure your local listings achieve the highest possible position in the search results. Because local listing optimization affects your natural rankings, you will not be eligible for guaranteed results, and service will not commence until we have successfully received your correct verification codes.
Geographic Location
Because search engines serve results based on your geographic location, we can only guarantee results for your specific country and geographic area. To determine your rankings at any given time, the search engine location settings must be set to your specific postal or ZIP code.
Submitting Information on Your Behalf
In order to perform link building and directory submissions, it is necessary that we submit information on your behalf to search providers for whom you must agree to their terms and conditions. These providers may include, but are not limited to: Google, Yahoo, MSN/Bing, ASK, AOL, Marchex, InfoUSA, 411 Directory Assistance, Yellowpages.com, Superpages.com, Yellowbook.com, Yelp, Acxiom, Localeze, TrueLocal, local.com, CitySearch, MagicYellow, Dex, YP.com, iBegin, YellowBot, Insider Pages, MojoPages, Kudzu, YellowPabeCity, Merchant Circle, OnStar, Craig’s List, Kijiji, local online newspapers, Facebook, YouTube and other sites. The terms and conditions of these providers all apply. We will not share your information with any business other than in the course of performing search engine optimization services on your behalf.
We have the right to place information pertaining to your business on any of our publisher and search provider websites such as those listed above and you authorize us to develop content based on information or material provided by you including copy, form, size, text, graphics, names, addresses, phone numbers, URLs, logos, trade names, trademarks, service marks, endorsements, photographs or likenesses, and videos. Further, you represent that the material and information you provide to us is truthful, not misleading, and that you have the authority to represent this product and service information to us. Because these are third party websites that are out of our control, we can not be held responsible for any technical problems or customer service issues that arise from their use.
Verification by Business Owner
Because some directory websites only allow a verified business owner to make changes to a business listing, we may notify you and require that you contact certain directory websites directly to request changes to your listing. Failure to update these listings to our specifications may void your results guarantee.
Keyword Insertion and Content Optimization
An important part of the optimization of your website will involve us making minor tweaks to the content on your site. This includes internal linking (inserting links between the pages of your website), and the insertion of headings and keywords throughout your web pages. These changes must remain intact for your search engine optimization campaign to be effective. Tampering with, or removing elements that we have inserted for SEO purposes may void your results guarantee. Don’t worry, we will only be inserting a few extra keywords per page, and will do our best to make sure the content sounds as natural as possible in an effort to retain your original flow.
Updates and Reports
Monthly progress updates are available by email once per month upon your request by email to info{at}simplypatients{dot}com. You will receive a username and password to log into your Google Analytics and Google Maps accounts to view traffic reports for your website and local listings. Because these are third party services that are out of our control, we can not be held responsible for any technical problems or customer service issues that arise from their use.
Credit Line
Your website footer will include a credit with the phrase “Dental Search Engine Optimiziation by SimplyPatients.com” with a link to our website.
Payment
All invoices are payable within 30 days of receipt. A 1.5% monthly service charge is payable on overdue balances. Search engine optimization services will be paused and late fees applied if payment has not been made by payment due date; re-initiation fees may apply. We may take up to 30 days from payment to activate your service.
Cancellation of Service
You may upgrade, downgrade, or cancel your monthly service at any time by email request to info{at}simplypatients{dot}com. Monthly fees that have been collected are not refundable. Upon cancellation of monthly service your search engine optimization service will be stopped.
Representations and Warranties; License and Grant of Rights
You represent and warrant that you have and will continue to have the absolute and unrestricted right to publish and use all information you have provided for us to perform these services and that the content does not infringe on the rights of any third party and that it complies with all local, state, provincial, and federal laws and regulations.
Assignment
We may assign, delegate or subcontract any rights or obligations under these Terms and Conditions of Service.
Limitation of Liability
You agree that you shall not hold us or any of our agents or employees liable for any incidental or consequential damages that arise from our failure to perform any aspect of these services in a timely manner, regardless of whether such failure was caused by intentional or negligent acts or omissions of us or a third party. Furthermore, we disclaim all implied warranties, including the warranty of merchantability and fitness for a particular use. In no event will we be liable to you or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the search engine optimization of your web pages, even if we have been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
Effective Date
Terms and Conditions are binding on both parties on the date payment is made.
