Project Scope
We will complete your project according to the features and pricing that you selected or that we agreed upon with you. If any requirements arise that are outside of the agreed upon project scope, we will let you know. They will be considered extra and, upon your approval, billed separately.
Process for Revisions
We will send mockups of your proposed website designs for your approval. You are entitled to 3 rounds of revisions. Upon approval, the mockups will move into production. Because of the difficulty involved in altering the design elements once they’ve moved into production, any substantial changes that are requested AFTER the mockups have been approved may be considered additional work. Once your test site is up and running, you will have the opportunity to review the website content. You are entitled to 3 rounds of content revisions. Any substantial changes to the website content that are requested AFTER it has been approved may be considered additional work.
Launch Date
It’s very important that we have your full cooperation to complete your website in a timely manner. If you do not supply us with the agreed-upon text and/or graphics content, and appropriate review, approval, and feedback for all web pages within 90 days, the entire amount of the contract becomes due and payable and any additional work will be considered extra. If time constraints are present, please let us know before your project begins.
Credit Line
Your website footer will include a credit with the phrase “Dental Web Design by SimplyPatients.com” with a link to our website.
Cancellation of Service
You may cancel your monthly hosting service at any time. Monthly fees that have been collected are not refundable. Upon cancellation of monthly service your website will be suspended, and search engine optimization service will be stopped. You may request a digital backup of the website which will be accessible to you via FTP download for 60 days. Cancellation requests must be made by email to info{at}simplypatients{dot}com.
Payment
All invoices are payable within 30 days of receipt. A 1.5% monthly service charge is payable on overdue balances. The grant of any license is conditioned upon receipt of full payment. Work will not commence until your deposit has been received. 50% of your total quote is due on commencement, and the remaining 50% is due on presentation of the test website. Monthly fees will commence 60 days after your initial deposit is received. Website launch is contingent upon receipt of final payment.
Representations and Warranties; License and Grant of Rights
You represent and warrant that you have and will continue to have the absolute and unrestricted right to publish and use all information you have provided for us to perform these services and that the content does not infringe on the rights of any third party and that it complies with all local, state, provincial, and federal laws and regulations.
Assignment
We may assign, delegate or subcontract any rights or obligations under these Terms and Conditions of Service.
Limitation of Liability
You agree that you shall not hold us or any of our agents or employees liable for any incidental or consequential damages that arise from our failure to perform any aspect of the project in a timely manner, regardless of whether such failure was caused by intentional or negligent acts or omissions of us or a third party. Furthermore, we disclaim all implied warranties, including the warranty of merchantability and fitness for a particular use. In no event will we be liable to you or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these webpages or website, even if we have been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
Effective Date
Terms and Conditions are binding on both parties on the date payment is made.
